These Terms of Service (“Terms”) govern your access to and use of Coinbooks (“Coinbooks,” “we,” “us,” or “our”) and the services we offer through coinbooks.ai (the “Service”). Please read them carefully.

By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

1. Eligibility

You must be at least 18 years old and capable of entering a binding contract to use the Service. The Service is intended for users located in the United States.

2. Description of the Service

Coinbooks provides AI-assisted bookkeeping tools designed for freelancers and self-employed individuals, including automated transaction categorization, mileage tracking, receipt processing, financial reporting, and tax estimation features.

The Service is a software tool to assist with bookkeeping. It does not constitute professional accounting, tax, legal, or financial advice. You are solely responsible for the accuracy of your financial records and for compliance with applicable tax and financial regulations. We strongly recommend consulting a licensed tax professional or accountant for advice specific to your situation.

3. Account Registration

  • You must provide accurate, current, and complete information when registering.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must notify us immediately at security@coinbooks.ai if you suspect any unauthorized access to your account.
  • We may suspend or terminate accounts that contain inaccurate information, violate these Terms, or pose a security risk.

4. Subscriptions, Pricing, and Billing

Coinbooks is offered on a subscription basis. Our current plan is the Solo Plan, priced at $18 per month or $180 per year. Pricing is subject to change with prior notice as described below.

  • Payment: Subscription fees are billed in advance via Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled. You can cancel at any time from your account settings.
  • Cancellation: When you cancel, your subscription remains active until the end of the current billing period. You will not be charged again after cancellation.
  • Refunds: Subscription fees are non-refundable except where required by applicable law. We may issue refunds at our sole discretion.
  • Price changes:We may modify pricing with at least 30 days’ notice. Changes will take effect at the start of your next billing period after notice.
  • Taxes: You are responsible for any sales, use, or similar taxes applicable to your subscription.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Provide false or misleading information, including impersonating another person or entity
  • Attempt to gain unauthorized access to the Service, our systems, or other users’ accounts
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Service
  • Scrape, harvest, or programmatically extract data from the Service without our prior written permission
  • Use the Service to develop a competing product or service, or to benchmark against a competing product
  • Upload viruses, malware, or other code designed to interfere with the Service or any user’s use of it
  • Interfere with or disrupt the integrity, performance, or security of the Service
  • Use the Service to store or process information for which you do not have proper authorization

6. Your Data

  • Ownership:You retain ownership of all financial data, documents, transactions, and other content you upload or generate through the Service (“Your Data”).
  • License to us: You grant Coinbooks a worldwide, non-exclusive license to use, process, store, and transmit Your Data solely to provide and improve the Service.
  • Accuracy: You are responsible for the accuracy and legality of Your Data. You represent that you have all rights necessary to provide Your Data to us.
  • Export and deletion: You may export Your Data at any time through the Service. Upon account deletion, we will delete Your Data as described in our Privacy Policy.

7. Third-Party Services

The Service relies on and integrates with third-party services, including but not limited to Plaid (for bank connections), Stripe (for payment processing), Anthropic (for AI features), and others described in our Privacy Policy. Your use of these integrations may be governed by their respective terms and privacy policies.

Coinbooks is not responsible for the availability, accuracy, or reliability of third-party services. If a third-party service becomes unavailable or changes its terms, features that rely on that service may be modified or discontinued.

8. AI-Generated Content

Some features of the Service generate output using AI, including but not limited to transaction categorization, receipt extraction, and bookkeeping suggestions. AI-generated output may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing and verifying all AI-generated content before relying on it.

9. Intellectual Property

All intellectual property rights in the Service — including software, designs, logos, and content we create — are owned by Coinbooks or our licensors. These Terms do not grant you any right or license to use Coinbooks trademarks, logos, or branding without our prior written permission.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Coinbooks does not warrant that transaction categorization, tax calculations, mileage calculations, receipt extraction, or any reports generated by the Service will be accurate, complete, current, or suitable for your specific circumstances. You are solely responsible for verifying the accuracy of all financial data, calculations, and reports before relying on them or submitting them to any tax authority, lender, or other party.

Coinbooks is not a registered tax preparer, certified public accountant (CPA), enrolled agent, or financial advisor. The Service is a software tool and does not constitute professional tax, accounting, legal, or financial advice. Decisions you make based on information from the Service are your own responsibility.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Coinbooks, its officers, directors, employees, or agents be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for lost profits, lost data, business interruption, tax penalties, or other intangible losses arising out of or related to your use of or inability to use the Service, even if Coinbooks has been advised of the possibility of such damages.

Coinbooks’ total cumulative liability arising out of or related to these Terms or the Service, regardless of the form of action or legal theory, shall not exceed the greater of (a) the amounts you paid to Coinbooks in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Coinbooks, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of (a) your use or misuse of the Service, (b) your violation of these Terms, (c) your violation of any applicable law, or (d) your violation of any third-party right, including any intellectual property or privacy right.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we believe you have violated these Terms or pose a security risk.

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will survive.

14. Changes to the Service

We are constantly evolving the Service. We may add, modify, or discontinue features at any time. We will provide reasonable notice for material changes that adversely affect your use of the Service.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice in the Service. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

If you are a consumer residing in a U.S. state that grants you the right to bring action in your local jurisdiction, that right is preserved.

17. Miscellaneous

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Coinbooks regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
  • Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices: We may send notices to you via the email address associated with your account or by posting them within the Service.
  • Force majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
